Terms of Service
Last updated: 5 October 2026
In plain terms: Papi supplies the shop, checkout and merchant tools. The independent merchant supplies the goods or service and is responsible for fulfilment, returns and customer care.
1. Who these terms are for and what papi is
Papi ("papi", "we", "us", "our") provides an all-in-one commerce and storefront infrastructure platform that empowers merchants and business owners ("Merchant," "you," "seller") to build, host, and operate modern digital storefronts, manage product inventories, process customer transactions, and manage physical-product fulfilment. People who purchase goods or services from a papi-hosted storefront ("Buyer," "Customer") are also governed by these terms where they interact directly with papi systems (such as checking out, creating or accessing a Papi account, or receiving transaction notifications).
By creating a Papi account, publishing a store, or completing an order on any storefront powered by Papi, you agree to these terms. If you do not agree to these terms, please discontinue use of the platform immediately.
Papi is a technology platform and payment facilitator, not the seller of record for merchandise, digital items, or services offered by independent merchants. Every store on Papi is independently owned and operated by its respective Merchant. The legal contract of sale for any purchased item exists directly between the Merchant and the Customer. Papi provides the hosting, checkout, and software infrastructure through which that sale is transacted.
2. Eligibility and Account Registration
You must be at least 18 years of age, or have reached the age of majority under the laws of your jurisdiction, to establish a Merchant or Customer account on Papi. By registering, you warrant that all information you provide is true, accurate, and kept up-to-date.
You are solely responsible for maintaining the confidentiality of your login credentials, wallet withdrawal PIN, and account tokens. You agree to notify Papi immediately at [email protected] if you detect or suspect any unauthorized access to your account.
3. Merchant Accounts and Obligations
3.1 Store Content and Fulfilment
As a Merchant on Papi, you maintain exclusive control over and responsibility for:
- The truthfulness and accuracy of all product listings, prices, descriptions, images, delivery fees, and stock availability displayed on your storefront.
- Fulfilling customer orders promptly, including dispatching physical items and meeting the delivery or pickup arrangements agreed with the buyer.
- Complying with all applicable local, national, and international laws, including consumer protection laws, product liability standards, and tax obligations (such as Value Added Tax and corporate income taxes). Papi does not assess, collect, or remit sales taxes on your behalf.
- Ensuring that all items listed are genuine, lawful, and do not infringe upon any third-party intellectual property or privacy rights.
- Providing prompt, courteous customer service and resolving customer complaints concerning your products or services.
3.2 Prohibited Products and Activities
Merchants and users may not utilize Papi to sell or distribute prohibited items, including but not limited to: counterfeit or stolen goods; illegal narcotics; firearms and regulated weapons; fraudulent schemes or pyramid models; adult content depicting minors; or any content that promotes hate speech or violence.
You may not manipulate checkout flows, generate fraudulent transactions, harvest customer personal data for unsolicited marketing, or circumvent Papi platform fees by diverting buyers to offline payment mechanisms for items listed through Papi.
Papi reserves the right to immediately suspend or terminate any store or account that violates these standards. In cases of suspected fraud or payment dispute, Papi may restrict platform access and refer the matter to the payment provider. Any payment-provider settlement restrictions are governed by the provider’s rules and applicable law.
3.3 Storefront addresses, names, logos and verification
A Papi username, store slug or Papi-hosted subdomain is a revocable allocation for use with the platform, not a permanent ownership right. Reservation, account creation or payment for a plan does not guarantee permanent availability of a particular identifier. You retain ownership of your own lawful business name, logo and other intellectual property.
Papi may reject, rename, restrict, reclaim or remove an identifier, storefront, logo or other content when reasonably necessary to address impersonation, infringement, misleading claims, unlawful content, fraud, security risks, breach of these terms, an expired reservation, account closure or a technical conflict. We may reserve identifiers needed for Papi services. We do not claim ownership of your independent trademark by taking such action.
Where practicable, we will explain the reason and give you an opportunity to correct the issue or choose another available address. We may act immediately where required by law or necessary to protect users or platform security. Contact [email protected] to request a review. Changes to a storefront address may affect existing links; permanent redirects are not guaranteed.
A verified badge records the business information Papi reviewed. It is not a guarantee of product quality, delivery or a merchant's future conduct, and is not an endorsement by Google or a payment provider. Papi may withdraw verification if information becomes inaccurate, eligibility changes or abuse is identified. Google independently decides account and listing eligibility.
3.4 Suspension, closure and identity restrictions
Papi may suspend access, revoke sessions or block an email address or phone number used for fraud, abuse, evasion of restrictions or other material violations. Such restrictions do not cancel existing customer obligations or entitle Papi to confiscate funds. Payment disputes and settlement restrictions remain subject to payment-provider rules and applicable law.
Accounts placed in the deletion process currently have a 30-day restoration window before scheduled permanent deletion. Restoration is subject to eligibility and support review; a ban is a separate restriction and is not automatically removed by restoration. We may retain records required for legal obligations, disputes or fraud prevention as described in our Privacy Policy.
4. Customer Accounts and Universal Checkout
Customers may purchase from Papi-powered storefronts using guest checkout or by creating a universal Papi Customer Account. A Papi Customer Account enables seamless, fast checkout across all Papi merchants, securely saves verified delivery addresses and contact information, and allows customers to track order history in one place.
Creating or using a Papi account does not substitute Papi for the merchant in any retail contract. Merchants remain the sole parties responsible for item delivery, warranties, and after-sales care.
A Papi buyer account is required to access the marketplace. Personalised recommendations are optional and can be disabled in account preferences. Coupons require a signed-in account and an eligible offer; product, category, expiry and usage restrictions apply as shown. Merchants remain responsible for their offers and published reviews must reflect genuine experiences.
5. Payments, Platform Fees and Subscriptions
All digital payments on Papi are processed through licensed payment partners, including Paystack. For merchant checkout transactions, Paystack split payments route the merchant share to the verified merchant subaccount, with Papi's disclosed platform fee allocated as part of the split. Papi does not offer an escrow or paid buyer-protection service at launch.
Platform fee percentages are determined by the Merchant's active subscription plan (e.g. Free, Pro, Pro+) as detailed on the Papi Pricing page. Platform fees are deducted automatically at the time of transaction settlement.
Settlement timing and availability depend on the payment provider and bank. Existing wallet records do not mean that split checkout proceeds are held in a Papi wallet. Papi does not charge the former ₦100 withdrawal fee.
Paid plans provide the features and limits shown when you subscribe. Automatic renewal applies only where you authorise a supported payment method; the displayed billing period and renewal terms apply. You may request cancellation through the available billing controls or support. Cancellation does not erase outstanding obligations, and mandatory refund rights remain unaffected.
6. Refunds, Returns, and Disputes
6.1 Direct Merchant Resolution
Because Papi is a software platform and not the vendor of the goods sold, all refund, exchange, and cancellation requests must be made directly to the Merchant from whom the purchase was made. Merchants set their own return and refund policies, which must be clearly communicated to buyers.
6.2 Platform Fees on Refunds
Papi's platform fees represent compensation for software services, secure hosting, and payment facilitation rendered at the moment of the transaction. If a Merchant issues a full or partial refund to a buyer, the refund is paid directly by the Merchant, with the treatment of platform and processing fees subject to the applicable refund policy, payment-provider rules and mandatory consumer rights.
6.3 Consumer Inquiries
If a buyer is unable to contact a merchant regarding an unfulfilled order, the buyer may contact [email protected]. Papi may, in its sole discretion, assist in facilitating communication or investigate whether the merchant has violated our acceptable use policies.
Physical-product stores are available at launch. Digital products, bookings and website-only store types are coming soon. Merchants offering international delivery must state delivery areas, charges, estimated timeframes and any buyer responsibility for import duties before checkout.
7. Domain Registration and Custom Domains
Merchants subscribing to eligible plans may connect custom domains or register new domains through Papi's integrated registrar services. Domain registrations and transfers are executed through accredited registrars and are subject to the rules of ICANN and relevant top-level domain registries (such as NiRA for .ng and .com.ng domains).
Domain registration and renewal fees paid to registries are non-refundable once registered. Merchants are responsible for ensuring their chosen domain name does not infringe upon registered trademarks.
Custom domains are separate from Papi-hosted addresses. Their registration, renewal, expiry, transfer and suspension depend on registrar and registry rules. A paid request does not guarantee registration until the registrar confirms success. Papi may disconnect a domain from its hosting for the grounds stated above; that does not by itself transfer ownership of a valid independently registered domain to Papi.
8. AI Storefront Assistant and Automation
Papi provides merchants with AI-assisted store configuration, design recommendations, and content drafting. All changes proposed by AI tools require explicit review and approval by the Merchant before publication. The Merchant remains fully responsible for the accuracy, legality, and appropriateness of all content published to their live storefront.
AI tools may also propose product, coupon, delivery and policy changes within your plan and permissions. Review proposed changes before applying them. Confirm any pre-filled delivery, pickup, address and return information before publishing guided store policies. AI output may be inaccurate and must not fabricate reviews, guarantees or business facts. Approved schedules may run later without a separate confirmation each time; you remain responsible for the schedules you enable and may disable them using the available controls.
9. Intellectual Property
Merchants retain all intellectual property rights in their uploaded logos, product photographs, trademarks, and written product descriptions. By uploading content, Merchants grant Papi a limited, worldwide license to host, display, format, and cache that content solely to deliver storefront services.
All software, interface designs, template code, documentation, logos, and trademarks comprising the Papi platform are the exclusive property of Papi and its licensors. You may not decompile, reverse-engineer, copy, or redistribute platform assets without prior written consent.
10. Limitation of Liability and Disclaimers
The Papi platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Papi does not warrant that services will be uninterrupted, error-free, or entirely secure.
To the maximum extent permitted by applicable law, Papi and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption. Papi's total aggregate liability arising out of or related to these terms shall not exceed the total platform fees actually collected by Papi from the merchant's transactions in the three (3) months preceding the incident.
Nothing in these terms excludes mandatory consumer rights, statutory data-protection rights, liability that cannot lawfully be excluded, or your right to approach a competent regulator or court.
11. Indemnification
You agree to indemnify, defend, and hold harmless Papi, its affiliates, officers, and agents against any claims, liabilities, damages, losses, or legal expenses arising out of: (a) your use of or access to the platform; (b) any product, digital good, or service sold through your storefront; (c) your breach of these Terms; or (d) your infringement of any third-party right.
12. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
The parties agree to seek an amicable settlement of any dispute arising out of or relating to these Terms. If any dispute is not resolved amicably within thirty (30) days of written notice, it shall be submitted to binding arbitration in Lagos, Nigeria, conducted in English in accordance with the Arbitration and Mediation Act 2023.
13. Modifications to Terms
Papi may revise these Terms periodically to reflect product updates or legal requirements. Material modifications will be notified to merchants via email or dashboard notification at least fourteen (14) days before they become effective. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
